Dispute Resolution (Master License Agreement, Section 13)
Good-faith discussion first. Then mediation. Then binding arbitration.

Step 1 · Good-Faith Negotiation
Before initiating any formal proceeding, the parties shall attempt in good faith to resolve any dispute by direct discussion between senior representatives for at least thirty (30) days from written notice of dispute.
Step 2 · Mediation
If unresolved, the parties shall participate in non-binding mediation administered by JAMS under its then-current mediation rules, in Wilmington, Delaware, for at least one (1) full-day session, with mediator fees split equally.
Step 3 · Binding Arbitration
Any dispute not resolved under Steps 1 and 2 shall be finally resolved by binding arbitration administered by JAMS under its Comprehensive Arbitration Rules and Procedures, before a single arbitrator, seated in Wilmington, Delaware, conducted in English. The arbitrator's award shall be final and enforceable in any court of competent jurisdiction solely for confirmation or enforcement.

EACH PARTY IRREVOCABLY WAIVES ANY RIGHT TO LITIGATE IN COURT AND ANY RIGHT TO A TRIAL BY JURY. No claim shall be heard in court or before a jury, with the sole exception of (i) actions to confirm, vacate, or enforce an arbitral award, and (ii) applications for emergency injunctive relief in aid of arbitration, which the parties consent to bring exclusively before the state or federal courts located in Wilmington, Delaware. All disputes shall be resolved on an individual basis; class, collective, and representative actions are waived to the maximum extent permitted by law.
Confidentiality of Proceedings
The existence, content, and outcome of any negotiation, mediation, or arbitration shall be confidential, subject only to disclosures required by law or for award enforcement.

The questions practice owners ask first.
Is this a franchise?+
No. A franchise, under the FTC Franchise Rule, requires (1) a trademark license, (2) significant control or assistance, and (3) a required payment. This program is structured to sit outside that definition: the license is non-exclusive, we do not control your clinical operations or set your prices, and the fee is for defined deliverables (curriculum, protocol updates, software access) — not a right to operate a Life Spark clinic. Licensees remain independent practices.
Who owns the patient relationship?+
You do. Every patient is your patient, in your EHR, under your BAA, billed to their insurance by your practice. We never touch identifiable PHI. The patient-facing tools they use are covered by their own consent to Life Spark, separate from your clinical record.
What happens if we terminate?+
90 days' notice, either direction. You stop using the trademark and the hosted tools. Your patients keep their personal Life Spark accounts. Your clinical record is unaffected — it was always yours.
Can we still participate in the research registry?+
Yes, on an opt-in basis, with your patients' separate consent and a Data Use Agreement. De-identified only. No registry participation is required to hold the license.
Do you help with payer contracting?+
We share the survivorship G-codes, CPT bundles, and value-based care contract language we have seen work — as reference material. Your contracts are your contracts.
