Terms, Privacy & Collaboration Agreement

1. Terms of Use

By accessing or using Life Spark Survivorship Institute (the "Platform"), operated by My Life Spark P.C., you agree to these Terms. If you do not agree, do not use the Platform.

Educational purpose only

The Platform provides educational tools, workflows, and templates for cancer survivorship and cardio-oncology. It is not medical advice, does not create a clinician-patient relationship, and is not a substitute for care from your qualified providers.

Accounts and your data

You are responsible for your account credentials and activity. Records you enter — symptom logs, transition-of-care plans, appointment prep — are stored under row-level security so only you (and administrators acting in a governance role) can read them. You may request export or deletion at any time by emailing connect@lifesparksurvivorship.com.

Subscriptions, billing, and cancellation

Paid tiers are billed monthly or yearly. Billing is processed by Stripe. Applicable tax is calculated automatically from your billing address. You may upgrade, downgrade, cancel, or update payment methods any time from the Subscription page — which opens the Stripe-hosted customer portal. Cancellations take effect at the end of the current billing period. CSPN Working Group code holders receive equivalent access without billing while their code is valid.

Prohibited conduct

No unlawful use, no unauthorized access attempts, no scraping or reverse engineering, no disruption of service, no harassment of other users, and no submission of another person's protected health information without their authorization.

Warranty disclaimer and liability cap

The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. To the maximum extent permitted by law, My Life Spark P.C. and its personnel are not liable for indirect, incidental, special, consequential, or punitive damages. Total aggregate liability shall not exceed the greater of (a) fees you paid us in the twelve months preceding the claim, or (b) one hundred U.S. dollars.

Termination

We may suspend or terminate access for conduct that violates these Terms, harms other users, or is unlawful. Sections that by their nature should survive (IP, disclaimers, liability cap, indemnification, governing law, dispute resolution) survive termination.

Governing law; entire agreement

These Terms are governed by Delaware law without regard to conflict-of-law principles. Together with the Privacy notice and the Collaboration Agreement below, they constitute the entire agreement between you and My Life Spark P.C. regarding the Platform.

2. Platform Collaboration Agreement

This Agreement covers everything you contribute to or route through the Platform. It controls on IP and collaboration topics; the Terms of Use control on everything else.

What you contribute (broad definition)

"Contributions" means all ideas, suggestions, feedback, ratings, comments, feature requests, bug reports, forms, survey answers, templates, workflows, prompts, prototypes, data, and any other materials you submit, upload, post, or communicate to us or through the Platform — whether solicited or unsolicited, and whether inside or outside a formal research activity.

Assignment of Contributions

You irrevocably assign to My Life Spark P.C. all right, title, and interest (including all copyright, patent, trade-secret, moral, and other intellectual-property rights, to the fullest extent assignable by law) in and to your Contributions, effective on submission, without any obligation of compensation or attribution. You waive any moral rights to the Contributions to the maximum extent permitted by law.

Backup license (fallback)

To the extent any Contribution cannot be assigned, you grant My Life Spark P.C. a perpetual, irrevocable, worldwide, royalty-free, exclusive, transferable, and sublicensable license to use, reproduce, modify, distribute, publicly perform, publicly display, create derivative works from, and commercialize that Contribution in any medium now known or later developed.

Third-party digital tools used through the Platform

If you choose to use a third-party digital tool (AI model, template library, calculator, exporter, storage service, or similar) through the Platform — whether embedded, linked, or invoked via our workflows — anything you generate, input, or receive through that tool as part of your use of the Platform is treated as a Contribution and is governed by this Agreement, even if the third party's own terms are silent, different, or narrower on ownership. This Agreement governs the collaboration between you and My Life Spark P.C.; it does not override the third party's contract with you as to that third party. Where a third party's terms prohibit assignment, the backup license above applies to the maximum extent permitted, and you agree not to invoke a third party's terms to defeat the assignment or license granted to My Life Spark P.C..

Your representations

You represent that (a) each Contribution is yours to assign and license, (b) it does not infringe third-party rights, (c) it does not contain another person's identifiable protected health information without lawful authorization, and (d) you have the authority to bind any organization on whose behalf you contribute.

Confidentiality of pre-release features

If you receive early access to features not yet public, you agree to keep them confidential until we release them.

No reverse engineering

You will not (and will not permit any third party to) decompile, disassemble, scrape at scale, reverse engineer, or attempt to derive source code, model weights, prompts, scoring logic, or trade secrets of the Platform, its AI, calculators, or workflows, except to the extent this restriction cannot lawfully be enforced.

Consideration

Continued access to the Platform (free or paid tier, or CSPN Working Group access) is the consideration for the assignment and licenses granted above.

3. Privacy & data

Direct identifiers are stripped before any aggregate analysis. Aggregate, de-identified metrics may appear in dashboards, journals, conferences, and educational materials — no individual records are published. 4. Cookies & consent controls

We use essential cookies to run the Platform. With your permission we also use analytics, preference, and marketing cookies. The cookie banner offers one-click "Accept all" and one-click "Essential only", plus a "Customize" reveal for per-category control. You can change your choice any time by clearing site data or by clicking the "Cookie preferences" link at the bottom of any page (once you have made an initial choice, the banner re-opens on request).

5. Dispute resolution

Step 1 — Good-faith discussion. Sixty (60) days of written good-faith negotiation starting when either party emails connect@lifesparksurvivorship.com with the dispute, facts, and requested resolution.

Step 2 — Mediation. If unresolved, confidential non-binding mediation administered by JAMS under its Mediation Rules, seated in Wilmington, Delaware, completed within sixty (60) days. Mediator fees split equally; each side pays its own attorneys' fees.

Step 3 — Binding arbitration. If still unresolved, final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Wilmington, Delaware. The arbitrator decides all threshold issues. Judgment on the award may be entered in any court solely to confirm or enforce it.

No court, no jury, no class. You and My Life Spark P.C. each irrevocably waive any right to a court proceeding, a jury trial, and to participate in any class, collective, consolidated, mass, or representative action. Limited carve-outs: small-claims individual claims that stay in that forum, and temporary equitable relief to protect IP or confidential information pending arbitration.

6. Arbitration opt-out

You may opt out of the binding-arbitration portion (but not good-faith discussion, mediation, the jury-trial waiver, or the class-action waiver, except as required by law) by emailing connect@lifesparksurvivorship.com within thirty (30) days of first accepting these Terms. Include your name, account email, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other portion of these Terms or your access to the Platform.
